1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and The Private Table PR (“Company,” “we,” “us,” or “our”), concerning your access to and use of our website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto. By accessing our chef placement and culinary services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using our services and must discontinue use immediately.

2. Intellectual Property Rights and Service Usage

Unless otherwise indicated, the Site and our service offerings are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us. You are granted a limited license to access the Site and use the services solely for the purpose of booking private chefs and culinary experiences for weddings, retreats, corporate gatherings, and other personal events in Puerto Rico.

• You may not systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from The Private Table PR.
• You may not circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site.
• You may not engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools to scrape chef profiles or pricing information.

3. Disclaimer and Limitation of Liability

The services of The Private Table PR are provided on an 'AS IS' and 'AS AVAILABLE' basis. As a placement agency, we connect clients with independent culinary professionals. You agree that your use of our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the services and your use thereof. We shall not be liable for any damages of any kind arising from the culinary services provided by placed chefs, including but not limited to foodborne illness, property damage, or personal injury, except where such liability cannot be excluded under the laws of Puerto Rico.

4. Governing Law, Modifications, and Contact Information

These Terms and Conditions and your use of the Site and our services are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Puerto Rico, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the “Effective date” of these Terms. Your continued use of the services after the date such revised Terms are posted will be deemed to have made you aware of and subject to the changes.
